If your property was subject to any title transfers through the Mortgage Electronic Registration System, Inc. a clean chain-of-title may be difficult to obtain.
WaterBank® has helped a number of clients complete tax-free exchanges of their assets under 26 U.S. 1321(a) whereunder the proceeds of the sale of water rights are used to purchase other real estate property while retaining the taxable basis of the original property. This option is attractive for corporations with water rights. If a corporation or a business trust with associate status sells water rights and makes a profit it pays taxes at its corporate rate. When the proceeds are distributed to shareholders as dividends, the proceeds are taxed again at the taxpayer rate. By utilizing Section 1031(a) of the Internal Revenue Code shareholders can receive payments directly thereby subjecting the proceeds to taxation once.
